# Software License Agreement
This Software License Agreement is between [LICENSOR] ("Licensor") and [LICENSEE] ("Licensee"), effective [DATE].
## 1. License Grant
Licensor grants Licensee a non-exclusive, non-transferable, limited license to use the Software for [PURPOSE], during the Term.
## 2. Restrictions
Licensee will not:
(a) sublicense, sell, or distribute the Software,
(b) reverse engineer, decompile, or disassemble the Software,
(c) remove proprietary notices, or
(d) use the Software to benchmark a competing product.
## 3. Ownership
Licensor retains all right, title, and interest in the Software.
## 4. Term
[N] years from the Effective Date. Either Party may terminate for material breach upon ten (10) days' notice if uncured.
## 5. Disclaimer of Warranties
