# Master Services Agreement
This Master Services Agreement (the "Agreement") is entered into as of [DATE] by [VENDOR NAME] ("Vendor") and [CLIENT NAME] ("Client").
## 1. Services
Vendor will provide the services described in mutually agreed Order Forms or Statements of Work that reference this Agreement.
## 2. Fees and Payment
Client will pay the fees set forth in each Order Form. Invoices are due net thirty (30) days.
## 3. Term and Termination
This Agreement begins on the Effective Date and continues until terminated. Either Party may terminate for material breach upon thirty (30) days' written notice if the breach remains uncured.
## 4. Confidentiality
Each Party will protect the other's Confidential Information using the same degree of care it uses for its own confidential information.
## 5. Intellectual Property
Each Party retains ownership of its pre-existing IP. Work product created specifically for Client under an Order Form belongs to Client.
## 6. Limitation of Liability
EACH PARTY'S AGGREGATE LIABILITY SHALL NOT EXCEED FEES PAID IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. NEITHER PARTY SHALL BE LIABLE FOR INDIRECT OR CONSEQUENTIAL DAMAGES.
## 7. Governing Law
Governed by the laws of the State of Delaware.
