# Non-Disclosure Agreement
This Non-Disclosure Agreement (the "Agreement") is entered into as of [DATE] by [DISCLOSER NAME] ("Discloser") and [RECIPIENT NAME] ("Recipient").
## 1. Confidential Information
Recipient acknowledges it will receive non-public information from Discloser. Recipient agrees to hold all such information in confidence for a period of five (5) years.
## 2. Permitted Use
Recipient may use the Confidential Information solely to evaluate a potential business relationship with Discloser.
## 3. Return of Information
Upon Discloser's request, Recipient will return or destroy all Confidential Information within thirty (30) days.
## 4. No License
Nothing in this Agreement grants Recipient any license or right in Discloser's intellectual property.
## 5. Governing Law
Governed by the laws of the State of Delaware.
