# Mutual Non-Disclosure Agreement
This Mutual Non-Disclosure Agreement (the "Agreement") is entered into as of [DATE] (the "Effective Date") by and between [PARTY A], a [STATE] [ENTITY TYPE] ("Party A"), and [PARTY B], a [STATE] [ENTITY TYPE] ("Party B"). Each of Party A and Party B may be referred to as a "Party" and collectively as the "Parties."
## 1. Confidential Information
"Confidential Information" means any non-public information disclosed by one Party to the other, in any form, that is identified as confidential at the time of disclosure or that a reasonable person would understand to be confidential.
## 2. Obligations
Each Party agrees to (a) hold the other Party's Confidential Information in strict confidence, (b) use it only for the purpose of evaluating a potential business relationship, and (c) protect it using at least the same degree of care it uses to protect its own confidential information.
## 3. Term
This Agreement shall remain in effect for a period of three (3) years from the Effective Date.
## 4. Governing Law
This Agreement is governed by the laws of the State of Delaware, without regard to its conflict of laws principles.
