# Confidentiality and Intellectual Property Assignment Agreement
In consideration of my employment or engagement by [COMPANY NAME] ("Company"), I, [INDIVIDUAL NAME], agree as follows:
## 1. Confidentiality
I will hold Company's Confidential Information in strict confidence during and after my engagement.
## 2. Assignment of Inventions
I hereby assign to Company all right, title, and interest in any inventions, discoveries, or works of authorship that I create:
(a) during my engagement,
(b) using Company's resources, or
(c) that relate to Company's business as conducted or planned.
## 3. Pre-Existing Work
I have listed on Schedule A any pre-existing inventions I wish to exclude from this assignment. If Schedule A is blank, I represent there are none.
## 4. Cooperation
I will execute additional documents as needed to perfect Company's ownership of the assigned inventions.
## 5. Return of Materials
Upon termination, I will return all Company property and Confidential Information.
