# Consulting Agreement
This Consulting Agreement (the "Agreement") is between [COMPANY NAME] ("Company") and [CONSULTANT NAME] ("Consultant"), effective [DATE].
## 1. Services
Consultant will provide the services described in Exhibit A.
## 2. Independent Contractor Status
Consultant is an independent contractor. This Agreement does not create an employment relationship.
## 3. Compensation
Company will pay Consultant $[RATE] per [hour/week/project], invoiced [monthly]. Net 30.
## 4. Work Product Ownership
All deliverables, work product, and inventions created by Consultant under this Agreement are the sole and exclusive property of Company. Consultant hereby assigns all right, title, and interest therein to Company.
## 5. Confidentiality
Consultant will hold all Company information in confidence during and after the engagement.
## 6. Term and Termination
Either Party may terminate upon ten (10) days' written notice. Sections 4 (IP), 5 (Confidentiality), and 8 (Governing Law) survive termination.
## 7. Non-Solicitation
For twelve (12) months after termination, Consultant will not solicit Company employees or clients for competing services.
## 8. Governing Law
Governed by the laws of the State of Delaware.
