Adding a Member to an LLC: Approvals, Ownership Records, and Tax Questions
Adding an LLC member requires checking the operating agreement and formation-state law, documenting admission or transfer approvals, recording the new economic and governance rights, and reviewing tax consequences. A state filing is not universally required for an ownership change, and an assignment alone may not complete admission. Delaware and Texas are examples, not national rules.
